VALIC Co I has announced the approval of new investment advisory agreements during a special shareholders meeting held on October 22, 2026. This decision follows the acquisition of additional shares of Corebridge Financial, Inc. by Nippon Life Insurance Company, which raised concerns about potential changes in control.
The new agreements, which are substantially similar to previous contracts, will take effect immediately. They include updated effective and termination dates, revisions to fund names, and modifications to notice provisions. This strategic move allows VALIC to maintain continuity in its investment management practices.
In addition to the advisory agreements, shareholders voted to change the classification of several funds from "diversified" to "non-diversified" under the Investment Company Act of 1940. This change applies to the Capital Appreciation Fund, Large Cap Core Fund, Systematic Core Fund, and U.S. Socially Responsible Fund. The shift allows these funds to invest in a smaller number of issuers, potentially increasing investment flexibility.
Moreover, shareholders approved revisions to fundamental investment restrictions for the International Equities Index Fund, Mid Cap Index Fund, Small Cap Index Fund, and Stock Index Fund. These revisions permit each fund to concentrate its investments in specific industries to a degree comparable to its benchmark index.
Erin F. Donnelly was also elected as a director of the company during the meeting, marking a significant addition to the board. The changes discussed will officially take effect on November 1, 2026, further aligning VALIC's operations with current market dynamics.
