Jewett Cameron Trading Company Ltd. has announced a significant agreement to sell its surplus seed property to Washington County for a purchase price of $5.9 million. This transaction, detailed in a recent SEC filing, is expected to bolster the company's financial standing and optimize its asset management strategy.
The sale agreement was reached on October 19, 2026, between JC USA Inc., a wholly-owned subsidiary of Jewett Cameron, and Washington County, a political subdivision of the State of Oregon. The property, located at 31345 NW Beach Rd., Hillsboro, Oregon, is now set to be sold for the stated purchase price.
As part of the agreement, Washington County will deposit $200,000 in earnest money into escrow. This amount is in the form of a promissory note that can convert to non-refundable cash under certain conditions. The note is subject to cancellation if the county terminates the agreement before the end of its initial 180-day due diligence period. The county has the option to extend this period for up to 60 additional days at a cost of $50,000 each.
The agreement stipulates that the county's obligation to purchase the property hinges on the satisfactory completion of its due diligence review and approval by the Washington County Board of Commissioners. The closing of the transaction is expected to occur on a mutually agreed business day within 15 days after the inspection periods, with a possible extension of up to 15 additional days.
If the county fails to close the deal without fault from Jewett Cameron, the company can retain the earnest money as liquidated damages. Conversely, if Jewett Cameron fails to close without fault from the county, the county can either terminate the agreement and receive a refund of the earnest money or seek specific performance.
This agreement is part of Jewett Cameron's broader strategy to optimize its assets and improve its financial position. The proceeds from the sale will first be used to reduce any outstanding amounts under the company’s credit facility with Northrim Funding Services, although currently, there are no amounts outstanding.
The sale is expected to have implications for the retail lumber and building materials industry, as it reflects a trend of companies reassessing their asset portfolios to enhance operational efficiency. Competitors in the sector may need to consider similar strategies to remain competitive.
Jewett Cameron Trading Company Ltd. operates in the retail lumber and other building materials sector, with a focus on optimizing its operations and financial health. The company’s recent filings indicate an ongoing commitment to strategic asset management.
The next steps following this agreement will include the due diligence process by Washington County and the subsequent closing of the transaction, which will be closely monitored by industry analysts and stakeholders.
