The Federal Trade Commission said October 8, 2026 that it secured changes to a partnership agreement between T-shirt maker Gildan Activewear SRL and wholesale distributor S&S Holdings LLC. The FTC says the changes protect small businesses and consumers from discriminatory pricing, and it has closed its investigation.

The FTC opened the probe after learning that S&S’s contract with Gildan prohibited Gildan from offering certain pricing and discounts given to S&S to S&S’s competitors. It examined whether Gildan violated Section 2(a) of the Robinson-Patman Act, which bars certain price discrimination, and whether S&S violated Section 2(f), which bars knowingly inducing or receiving prohibited price discrimination.

Gildan and S&S amended the agreement. It now says: “Nothing in this Agreement restricts or restrains Gildan’s discretion to set prices or offer partnership support to any other North American wholesale distributor.” The FTC posted a public letter from Gildan confirming the amendment.

The FTC said the matter builds on a Robinson-Patman settlement the prior week with Southern Glazer’s Wine and Spirits, which it described as the first such case resolved by a federal enforcement agency in over 20 years.
