TerraVolt Holdings, Inc. has taken a significant step forward by entering into two option agreements for approximately 1,077 acres of land in Cassia County, Idaho. This strategic move is aimed at advancing the company’s innovative Physical Infrastructure-as-a-Service (PIaaS) platform, which integrates onsite natural gas power plants with construction-ready data center sites. The agreements, dated October 23, 2026, are expected to bolster TerraVolt's position in the rapidly evolving data center industry.
The company, which operates in the Real Estate Investment Trusts sector, is focusing on providing turnkey solutions to hyperscalers, colocation providers, and data center developers. This development is crucial as it allows these entities to deploy new capacity more swiftly than traditional methods would permit.
According to the filing dated October 30, 2026, TerraVolt has deposited a total of $150,000 in option fees with TitleOne Corporation, which will act as the escrow agent. Half of this amount is nonrefundable and will be released to the seller, while the other half will be held in escrow pending the exercise or termination of the options.
One of the option agreements pertains to the purchase of approximately 903.3 acres, with a purchase price set at $30,000 per acre, payable in cash. The second agreement involves about 174.1 acres, known as the Stock Parcels, which will be acquired through a convertible secured promissory note, also priced at $30,000 per acre. The total acreage will be finalized following a land title survey.
The options granted under these agreements will expire on October 23, 2027, with the possibility of a six-month extension for an additional fee of $75,000. The agreements also stipulate that if any unforeseen issues arise during the option period—such as environmental or zoning problems—TerraVolt can terminate the agreements and recover part of the option fees.
If exercised, the company will deliver the convertible note at closing, which can be converted into shares of common stock at a price of $5.00 per share, subject to certain conditions. This arrangement provides TerraVolt with flexibility in financing the acquisition while also potentially increasing shareholder value.
TerraVolt's strategic acquisition of land for its data center infrastructure reflects a growing trend in the industry where companies are looking to enhance their operational capabilities in response to increasing demand for data services. As the market for data centers continues to expand, competitors may need to reevaluate their strategies to keep pace with TerraVolt's ambitious plans.
Looking ahead, the company has not specified the next steps following this filing, but the successful execution of these agreements could significantly impact its operational capacity and market presence.
