Pluri Inc. has announced a significant partnership with ZEO ScientifiX, Inc., which will allow ZEO to exclusively manufacture and commercialize Pluri's regenerative medicine product portfolio in the United States. This agreement, effective from October 26, 2026, is a strategic move for Pluri, as it seeks to expand its market presence in the competitive biological products sector.

Under the terms of the partnership, Pluri will grant ZEO an exclusive license for its products, with the potential for expansion into Latin America. The agreement also includes provisions for an operating plan and budget that will cover manufacturing, commercialization, regulatory, capital expenditure, and financing plans related to the licensed products.

As part of the deal, Pluri will have the right to appoint four out of seven members to ZEO's board of directors, provided it maintains at least 25% ownership of ZEO's issued share capital. This governance structure ensures that Pluri retains significant influence over ZEO's operations and strategic direction.

In exchange for the exclusive license, ZEO will issue Pluri 41% of its outstanding share capital and 50 shares of newly designated Series D Non-Convertible Preferred Stock. This arrangement includes a variable royalty mechanism based on Pluri's equity ownership in ZEO, which will increase as Pluri's ownership stake decreases.

Additionally, ZEO will issue warrants to Pluri, allowing it to purchase up to an additional 5% of ZEO's share capital at an exercise price of $4.00 per share, and another warrant for an additional 2.5% at an exercise price of $5.50 per share. These financial instruments provide Pluri with the opportunity to further increase its stake in ZEO, depending on certain performance metrics.

On October 27, 2026, Pluri also entered into separate Securities Purchase Agreements with two investment firms, agreeing to sell 454,546 common shares at $1.10 each, along with warrants for additional shares. This transaction is expected to raise $1 million, which will be used for corporate development and working capital.

The partnership with ZEO is particularly timely as the demand for regenerative medicine products continues to grow. By aligning with ZEO, Pluri positions itself to capitalize on this expanding market, potentially increasing its competitive edge over other companies in the biological products industry.

Looking ahead, the success of this partnership will depend on the timely closing of the transactions and the execution of the approved operating plan. The agreement allows either party to terminate the partnership if the closing does not occur within 90 days, indicating the importance of swift action and collaboration between Pluri and ZEO.

This partnership not only marks a pivotal moment for Pluri Inc. but also signals a shift in the landscape of the biological products sector, as companies may need to adapt their strategies in response to this new collaboration.
