Osisko Gold Group Inc. has announced the successful closing of a $30 million equity investment from Urion Investments Holdings Limited, an affiliate of Trafigura Canada Limited. This investment is a significant step for the company as it aims to further develop its Cariboo Gold Project, a flagship initiative in British Columbia.
The equity investment consists of 9,554,141 common shares issued at a price of $3.14 per share, which represents a 10% premium to the five-day volume weighted average price prior to signing. The gross proceeds from this transaction will be directed towards advancing the Cariboo Gold Project, which is currently under construction.
Osisko Gold, listed on the NYSE and TSX Venture Exchange under the ticker OGG, is focused on developing past-producing mining camps with significant potential. The company’s objective is to become an intermediate gold producer, and this investment aligns with its strategic goals.
As part of the investment agreement, Urion has entered into a voting support agreement with Osisko Gold, committing to vote its shares in accordance with the board’s recommendations. This agreement includes customary standstill and lock-up provisions, limiting Urion's ability to acquire additional shares or sell its current holdings for a specified period.
The completion of this investment is subject to final acceptance by the TSX Venture Exchange. Following the transaction, Osisko Gold will have approximately 315,809,214 common shares outstanding, with Urion holding about 3.0% on a non-diluted basis.
This development is particularly relevant for the gold and silver ores industry, highlighting ongoing interest and investment in mining projects. It reflects a broader trend of financial backing for companies that are advancing significant mining projects, especially in favorable jurisdictions.
Details were not available in the SEC filing regarding the next steps following this investment, but the company continues to negotiate a potential prepayment facility of up to $120 million, which could further bolster its financial position and project development.
