BNY Mellon ETF Trust II has announced its plans to consolidate several of its U.S. investment firms into a new entity called BNY Investments Corporation. This consolidation is set to take effect on or about January 1, 2027, and aims to streamline operations and enhance the firm's brand identity.
The consolidation involves key investment advisers, including BNY Mellon ETF Investment Adviser, LLC, Insight North America LLC, Mellon Investments Corporation, and Newton Investment Management North America, LLC. The boards of the funds have approved a new management agreement with BNY Investments Corporation, which will replace existing sub-investment advisory agreements with the involved advisers.
According to the filing, the new management agreement will be substantially similar to the existing agreements, ensuring continuity in the management of the funds. It is anticipated that the current portfolio managers will continue to manage the funds' investments under the new structure, with no material changes to the funds' investment objectives or strategies.
The Adviser Consolidation will not constitute a change in actual control or management of the involved advisers, thus avoiding the need for a shareholder vote. This strategic move reflects BNY Mellon’s commitment to maintaining high-quality services while adapting to the evolving investment landscape.
In addition to the consolidation, BNY Mellon is also engaged in a global branding initiative, which includes dropping the "Mellon" name from its funds to align with the new BNY Investments brand. This branding change is part of a broader strategy to strengthen its market position and create a unified global investment brand.
Effective January 1, 2027, all references to the involved advisers in the funds' prospectuses will be updated to reflect the new entity, BNY Investments Corporation. The filing indicates that the current proxy voting procedures will remain unchanged following the consolidation.
This consolidation and branding initiative are significant steps for BNY Mellon ETF Trust II as it seeks to enhance operational efficiency and brand recognition in a competitive investment industry.
