Sports Entertainment Gaming Global Corporation (SEGG) has disclosed in a recent filing that it will correct its previously issued financial statements due to new information regarding legacy transactions executed by former executives. This development is significant as it underscores the company's commitment to transparency and accountability in its financial reporting.
The company, which operates in the prepackaged software sector, formerly operated under the name Lottery.com and underwent a business combination with Trident Acquisition Corp. The recent filing reveals that the legacy transactions, which occurred in 2020 and 2021, involved questionable accounting practices directed by former CEO Vadim Komissarov and other executives.
According to the filing, the legacy transactions were circular in nature, generating revenue using borrowed funds held in escrow. This revenue was then used to support AutoLotto's acquisition of Global Gaming Enterprises, Inc. on June 30, 2021. Notably, on June 24, 2026, Komissarov was sentenced to three years in prison for his involvement in these transactions, while two other former executives, Matthew Clemenson and Ryan Dickinson, pleaded guilty to related charges.
The company's current management has stated that they had no involvement in these legacy transactions and that all individuals associated with them are no longer with the company. The recent findings, obtained through depositions taken in unrelated matters, revealed that Komissarov instructed others to record a $9 million transaction as revenue, despite the funds being held in a restricted escrow account.
As a result of the new information, SEGG has determined that its annual and quarterly financial reports for the years ended December 31, 2023, 2024, and 2025 will need to be corrected. These corrections will reflect the overstated revenue from the legacy transactions and will lead to a reduction in previously reported losses and accumulated deficits. While the adjustments will decrease reported goodwill and total assets, the management believes that the corrections will not significantly alter an investor's assessment of the company's financial condition.
Moving forward, SEGG is expected to file amended financial statements for the correction periods, which will provide a more accurate representation of its financial standing. The company aims to reassure investors and stakeholders of its commitment to ethical practices and financial integrity.
This situation serves as a reminder of the importance of transparency in the prepackaged software industry, where trust is essential for maintaining investor confidence. As SEGG corrects its financial reporting, it will be crucial for the company to communicate effectively with its stakeholders to rebuild trust and demonstrate its commitment to ethical business practices.
